When using our website or engaging our services, you agree to:
- Provide accurate and up-to-date information when submitting enquiries or registering for programmes
- Use our website and services for lawful, good-faith purposes only
- Not attempt to reverse engineer, copy, or distribute Rimba Digital materials without written permission
- Not engage in any conduct that could harm, disrupt, or interfere with our website or the experience of other users
- Respect confidentiality of any proprietary methodologies or materials shared during an engagement
5. Intellectual Property
All content on this website and within our training materials — including but not limited to curricula, frameworks, slide decks, datasets, written reports, and visual assets — remains the intellectual property of Rimba Digital unless explicitly stated otherwise.
Upon full payment for a service, clients receive a limited, non-exclusive, non-transferable licence to use the deliverables for their own internal business purposes. This licence does not permit redistribution, resale, or sublicensing.
Any user-generated data or organisational data shared with us during an engagement remains the property of the client. We use it solely to deliver the agreed service and handle it in accordance with our Privacy Policy.
6. Payment Terms
All prices are quoted in Malaysian Ringgit (RM) and are subject to applicable taxes. Indicative prices are provided on our website; final pricing is confirmed in writing prior to commencement.
- Training programmes: Payment is due prior to the session date unless otherwise agreed in writing.
- Consulting engagements: A deposit of 50% is payable upon engagement confirmation; the remainder is due upon delivery of agreed outputs.
- Accepted payment methods: Bank transfer to our designated Maybank account, details provided on invoice.
Cancellation and Refunds
- Cancellations made more than 10 business days before a scheduled session: full refund, less any direct costs already incurred.
- Cancellations within 10 business days: 50% refund or credit toward a rescheduled engagement at our discretion.
- If Rimba Digital cancels a session, a full refund will be issued or a rescheduled date offered at the client's preference.
7. Service-Specific Terms
Training Programmes
- Enrolment is confirmed only upon receipt of full payment or written acceptance of a payment plan.
- Participants are expected to engage in good faith. Disruptive behaviour may result in removal without refund.
- Completion acknowledgements are issued based on attendance and participation, not examination performance.
Consulting Services
- Scope of work is defined in a written engagement letter prior to commencement.
- Material changes to scope require written agreement and may affect timelines and fees.
- Confidentiality of client information and data is maintained in accordance with our Privacy Policy.
Workforce Transition Support
- Engagement timelines are estimates. Actual duration depends on organisational responsiveness and complexity.
- Our recommendations are advisory in nature. Final implementation decisions remain with the client organisation.
8. Disclaimers
Our website and services are provided on an "as available" basis. We make reasonable efforts to maintain accuracy and quality, but do not warrant that:
- Website content is always current, complete, or free from error
- Specific business outcomes will result from engagement with our services
- The website will be uninterrupted or free from technical issues
Our services are professional advisory and educational in nature. They do not constitute legal, financial, or regulatory advice.
9. Limitation of Liability
To the extent permitted by Malaysian law, Rimba Digital's total liability for any claim arising from our services shall not exceed the total fees paid by the client for the specific service giving rise to the claim.
We shall not be liable for indirect, consequential, incidental, or punitive damages, including loss of profits, business opportunity, or data — even if we were advised of the possibility of such damages.
Nothing in these terms limits our liability for fraud, gross negligence, or any other liability that cannot be excluded by law.
10. Termination
Either party may terminate an engagement by providing written notice if the other party materially breaches these Terms and fails to remedy that breach within 14 calendar days of written notice.
Upon termination, any outstanding fees for work already performed become payable. Intellectual property clauses, confidentiality obligations, and limitation of liability provisions survive termination.
11. Dispute Resolution
These Terms are governed by the laws of Malaysia. In the event of a dispute, we encourage an initial informal resolution attempt — please contact us at [email protected] and we will endeavour to respond within 10 business days.
If informal resolution is not achieved, disputes shall be subject to the jurisdiction of the courts of Penang, Malaysia. Both parties may also agree to mediation under the Asian International Arbitration Centre (AIAC) rules as an alternative.
12. General Provisions
- Entire Agreement: These Terms, together with any signed engagement letter, constitute the full agreement between the parties.
- Severability: If any provision is found unenforceable, the remainder of the Terms continues in full effect.
- No Waiver: Failure to enforce any provision does not constitute waiver of that right.
- Assignment: You may not assign rights or obligations under these Terms without our prior written consent.
- Notices: Formal notices should be sent by email to the addresses specified in this document.
13. Changes to These Terms
We may update these Terms from time to time. When we do, we will update the "Last Updated" date at the top of this page. Changes take effect from the date of publication unless stated otherwise.
For active service engagements, material changes will be communicated by email. Continued use of our website or services after changes constitutes acceptance of the updated Terms.
